So hypothetically if the CEO of one company bought another company in a personal transaction (not a merger) and sent engineers from his first company to the new company over a weekend to "evaluate their code", how is this at all reasonable as a way to use their resources?

I get that he is now "sole director" of the new one, but the other company still has shareholders and directors who are presumably not interested in helping out their billionaire CEO's hobby project. Right?
